Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASURINT WILL NOT BE LIABLE FOR ANY LOSS, INJURY, CLAIM, LIABILITY, OR DAMAGE OF ANY KIND ARISING FROM OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR CONTENT, INCLUDING WITHOUT LIMITATION, ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, OR OTHERWISE, REGARDLESS OF WHETHER SUCH LIABILITY IS BASED ON BREACH OF CONTRACT, TORT, STRICT LIABILITY, BREACH OF WARRANTY, NON-INFRINGEMENT, OR OTHERWISE, AND EVEN IF ASURINT HAS BEEN ADVISED OF THE POSSIBILITY OR SHOULD HAVE BEEN AWARE OF SUCH DAMAGES. TO THE EXTENT THE AFOREMENTIONED LIMITATION OF LIABILITY IS PROHIBITED BY LAW, ASURINT’S SOLE LIABILITY TO YOU FOR DAMAGES SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

The Site is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, We expressly disclaim all warranties, whether express, implied, statutory or otherwise, with respect to the Site, Content, or Your use of the Site, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. Governing Law; Venue

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles. Any legal action, suit or proceeding arising out of these Terms and Conditions must be brought solely and exclusively in the United States District Court for the Northern District of Ohio or in the state courts of the State of Ohio, Cuyahoga County, and You irrevocably accept and submit to the sole and exclusive jurisdiction of each of the aforesaid courts in personam.

Severability

If any provision of these Terms and Conditions is declared or found to be illegal, unenforceable or invalid under applicable laws, such provision will be deemed void and modified to the extent necessary to make it legal and enforceable while preserving its intent. If that is not possible, another provision that is legal and enforceable and achieves the same objective shall be substituted. All other provisions of these Terms and Conditions will remain unaffected.

Waiver

The failure of a Party to insist upon strict adherence to any provision of these Terms and Conditions on any occasion shall not be considered a waiver nor shall it deprive such Party of the right thereafter to insist upon strict adherence to that provision or any provision of these Terms and Conditions. Any waiver must be in writing signed by the waiving party.

Changes to These Terms and Conditions

We reserve the right, at Our sole discretion, to amend or replace these Terms and Conditions at any time. If We do, we will publish the revised Terms and Conditions on the Site and such revised Terms and Conditions shall take effect immediately.
